Can I Form an LLC Online in California?
Yes. California allows full online LLC formation through the Secretary of State's BizFile system at https://bizfileonline.sos.ca.gov/. File Form LLC-1 (Articles of Organization) with a $70 filing fee. Standard processing takes 3–5 business days. Cal. Corp. Code § 17702.01 governs formation requirements.
What You'll Need to File
Your Articles of Organization must include your LLC name (with "LLC," "L.L.C.," or "Limited Liability Company"), principal office street address, registered agent name and California street address, management structure (member-managed or manager-managed), and organizer signature. Cal. Corp. Code § 17702.01. Any person may serve as organizer—they need not be a member or manager.
Name Requirements
Your name must be distinguishable on the Secretary of State's records and include a required designator. Cal. Corp. Code § 17701.08 prohibits "Bank," "Trust," "Insurance," "Corporation," and "Inc." Search existing names free at https://bizfileonline.sos.ca.gov/search/business before filing. Reserve a name for 60 days for $10 if you need more time to prepare your filing.
Filing Process
Complete your Articles of Organization online via BizFile. You may choose your LLC's effective date during filing or have it become effective immediately upon approval. The Secretary of State will process your filing within 3–5 business days and send you a confirmation.
After Formation
If you operate under a name different from your LLC name, file a DBA (Doing Business As) with your county clerk for $26. This is a separate requirement from LLC formation.
You'll also need to obtain an EIN from the IRS and a California tax ID from the Franchise Tax Board for tax purposes.
