Does Delaware Require LLC Publication?

No. Delaware does not require LLC publication in newspapers, legal journals, or any other public medium. You need only file a Certificate of Formation with the Delaware Division of Corporations under 6 Del. C. § 18-201. This single filing satisfies all state-level formation requirements. No publication step is mandatory before, during, or after formation.

What You Must File Instead

Your Certificate of Formation requires three elements:

  • LLC name (must include "Limited Liability Company," "LLC," or "L.L.C.")
  • Street address of your Delaware registered office
  • Registered agent name at that address

Member and manager names do not appear in public filings unless you voluntarily disclose them. This privacy feature is a core Delaware advantage.

Filing Process

Submit your Certificate of Formation online or by mail to the Delaware Division of Corporations. The standard filing fee is $110.00, with processing in 2–3 business days. Expedited options are available: 24-hour (+$50), same-day (+$100), 2-hour (+$500), or 1-hour (+$1,000).

Your LLC becomes legally effective upon filing acceptance. No waiting period for publication clearance exists because there is no publication requirement.

Why This Matters

Delaware's streamlined approach contrasts sharply with states like New York, which mandate newspaper publication. Delaware's no-publication rule, combined with anonymous LLC options, makes the state attractive for privacy-conscious business owners. You can form an LLC with minimal public disclosure while remaining fully compliant with state law.

Important Distinction

Don't confuse filing with publication. Filing means submitting your Certificate to the state—a straightforward online or mail process. Publication would mean announcing your formation in newspapers. Delaware requires only the former.

Next Steps

  1. Prepare your Certificate of Formation with your LLC name, Delaware registered office address, and registered agent name.
  2. File online through the Delaware Division of Corporations website or submit by mail.
  3. Pay the $110 filing fee (plus any expedited fee).
  4. Receive your filing confirmation—formation is complete.
  5. Obtain an EIN from the IRS if needed.

No publication step follows or is required at any point during your LLC's existence in Delaware.
