Does Florida Require LLC Publication?

No. Florida does not require LLC publication in newspapers or legal journals. Under Fla. Stat. §§ 605.0201 and 605.0213, you file Articles of Organization with the Florida Department of State, Division of Corporations. Your LLC becomes effective upon filing—no additional publication is required by statute.

What You Must File Instead

File Articles of Organization with the Division of Corporations. This single filing satisfies all formation requirements. Your document must include:

  • LLC name with an approved designator (LLC, L.L.C., etc.)
  • Principal office street address
  • Mailing address (if different)
  • Registered agent name and Florida street address
  • Written acceptance from your registered agent

Public Disclosure Requirements

While publication isn't required, your LLC information becomes public record through the state filing system. Your Articles of Organization are accessible in the Division of Corporations database.

Florida requires annual reports listing at least one member, manager, or authorized representative publicly (Fla. Stat. § 605.0210). You cannot maintain a completely anonymous LLC—at minimum, one responsible party must be identified in state filings.
