Does New York Have a State-Level BOI Requirement?

No. New York does not impose a state-level Beneficial Ownership Information (BOI) requirement. However, New York LLCs must file a Biennial Statement every two years with the Department of State under N.Y. Ltd. Liab. Co. Law § 626, listing only the address for service of process. Federal FinCEN BOI reporting under the Corporate Transparency Act is separate and applies to most U.S. business entities.

What New York Actually Requires

New York LLCs must file a Biennial Statement every two years during the calendar month in which the LLC received its Articles of Organization or Application for Authority. The first statement is due two years after formation.

Filing Details:

  • Fee: $9.00
  • Contents: Address for service of process only (no beneficial ownership information)
  • Method: Online at https://filing.dos.ny.gov/ or paper form
  • Authority: N.Y. Ltd. Liab. Co. Law § 626

There is no grace period. Missing the deadline causes the Department of State to mark your LLC as past due in its records, which can interfere with business transactions and obtaining status certificates. Reinstatement requires filing the overdue statement immediately.

Federal BOI vs. New York Requirements

Critical distinction: New York's Biennial Statement does not satisfy federal FinCEN BOI obligations. These are separate requirements:

  • New York Biennial Statement: State filing with minimal disclosure (service of process address only). Required every two years.
  • Federal FinCEN BOI: Requires disclosure of beneficial owners (individuals owning 25%+ interest) and company applicants to the Financial Crimes Enforcement Network. Applies to most business entities, including New York LLCs, under the Corporate Transparency Act.

Your LLC must comply with both. File the Biennial Statement with New York's Department of State and submit beneficial ownership information to FinCEN federally on separate timelines and systems.

Next Steps

  1. Confirm your Biennial Statement due date by reviewing your Articles of Organization or Application for Authority.
  2. File online at https://filing.dos.ny.gov/ during the correct calendar month.
  3. Determine federal BOI obligations under the Corporate Transparency Act and file with FinCEN separately if required.
  4. Contact the New York Department of State at (518) 473-2492 or visit https://dos.ny.gov/ for Biennial Statement questions.
