Does Wyoming Allow Anonymous LLCs?

Yes. Wyoming permits anonymous LLCs under Wyo. Stat. §§ 17-29-201 through 17-29-205. Member and manager names are not required in the publicly filed Articles of Organization. However, the LLC must maintain a registered agent in Wyoming with a physical street address and provide an email for service of process.

What Information Must Be Public

Wyoming's Articles of Organization require only four elements:

  • LLC name
  • Initial registered office address in Wyoming
  • Registered agent name and street address
  • Email address for electronic service of process

Member and manager identities remain completely private and do not appear in state filings or public records.

Registered Agent Requirement

You cannot achieve total anonymity. Wyoming mandates a registered agent with a Wyoming street address (Wyo. Stat. § 17-29-203). The agent receives legal documents and official notices on behalf of the LLC. The agent's name and address appear publicly, but actual owners do not.

Many business owners use professional registered agent services to maintain personal privacy while satisfying this requirement.

Internal Records & Tax Obligations

While ownership stays off public filings, Wyoming requires the LLC to maintain accurate membership records internally. These records are not filed with the state but must be available for member inspection.

Anonymous status does not exempt your LLC from federal tax identification numbers (EIN) or IRS reporting. The IRS requires member identification on tax returns regardless of state privacy protections.

Formation Process

File Articles of Organization with the Wyoming Secretary of State. The filing fee is $100. Online filing through WyoBiz is available and processes faster than paper filings, which take up to 15 business days. You may select an effective date for formation.

Practical Considerations

Anonymous LLCs work well for real estate holdings, business privacy, and asset protection. Wyoming's strong charging order protection under Wyo. Stat. § 17-29-503 enhances privacy benefits. However, banks and business partners may request ownership verification during normal operations, even though Wyoming's public records remain anonymous.

Wyoming's anonymous LLC structure provides genuine privacy protection while maintaining the liability shield and operational flexibility of standard LLCs.
