Does Wyoming Have a State-Level BOI Requirement?
No. Wyoming does not impose a state-level beneficial ownership information (BOI) reporting requirement. Wyoming LLCs must file annual reports with the Secretary of State under Wyo. Stat. §§ 17-29-209 and 17-29-210, but these reports do not require beneficial owner disclosure. Annual reports require only capital, property, assets located in Wyoming, principal office address, and certification by a fiscal agent.
What Wyoming Actually Requires
Wyoming LLCs must file an annual report by the first day of the anniversary month of formation or qualification. The filing fee is $60 or $0.0002 of Wyoming assets, whichever is greater.
The annual report must include:
- Capital, property, and assets located and employed in Wyoming
- Principal office address
- Certification under penalty of perjury by the treasurer or fiscal agent

Important: Federal FinCEN BOI Reporting
Although Wyoming has no state BOI requirement, most Wyoming business entities must comply with the federal Corporate Transparency Act (CTA), administered by FinCEN. The CTA requires beneficial ownership information reporting to FinCEN (not Wyoming), with a filing deadline of January 1, 2025, for entities formed before January 1, 2024, and within 30 days of formation for entities formed after that date.
Beneficial owners are individuals with 25% or greater ownership or substantial control. Exemptions exist for certain entities, including those with more than 20 full-time employees, $5 million+ gross revenue, or those operating as public companies or regulated financial institutions.
Failure to file incurs civil penalties up to $500 per day and potential criminal penalties.
Consequences of Missing Wyoming's Annual Report
If you miss the annual report deadline, Wyoming provides a 60-day grace period. If the annual report and license tax remain unpaid 60 days after the due date, your LLC faces automatic administrative dissolution under Wyo. Stat. § 17-29-210.
Reinstatement requires filing each delinquent annual report, paying each delinquent license tax, and submitting a $100 reinstatement fee. You must complete reinstatement within two years of dissolution.
