Florida LLC Annual Report: Filing Requirements & Deadlines

Q: How do I file an annual report for my LLC in Florida?

A: File your annual report online through the Florida Division of Corporations at https://dos.fl.gov/sunbiz/ between January 1 and May 1 each year. The filing fee is $138.75. Your report must include your principal office address, mailing address, date of organization, federal employer identification number (if assigned), and the name, title, and address of at least one member, manager, or authorized representative. First-time filers must submit their report between January 1 and May 1 of the year following formation.

Filing Deadline & Fee

Your annual report is due between January 1 and May 1 each calendar year under Fla. Stat. § 605.0210. There is no grace period. The filing fee is $138.75, payable online during submission.

Required Information

Include the following in your annual report:

  • Principal office address
  • Mailing address
  • Date of organization
  • Federal employer identification number (if assigned)
  • Name, title, and address of at least one member, manager, or authorized representative

Late Filing Penalties

Missing the May 1 deadline incurs a $400 late fee. More critically, if your report remains unfiled by 5:00 p.m. Eastern Time on the third Friday in September, your LLC is administratively dissolved on the fourth Friday in September (Fla. Stat. § 605.0210). You cannot legally operate once dissolved.

Reinstatement After Dissolution

If your LLC is administratively dissolved, you can reinstate it by filing a reinstatement application with the current annual report and paying:

  • $100 reinstatement fee
  • $138.75 annual report filing fee
  • $400 late penalty
  • Any other delinquent fees

File online at https://dos.fl.gov/sunbiz/ or contact the Florida Division of Corporations at (850) 245-6052 for assistance.
