New York LLC Annual Report Filing Requirements

Q: How do I file an annual report for my LLC in New York?

A: New York requires LLCs to file a Biennial Statement every two years during the calendar month in which your Articles of Organization were filed. The $9 filing fee is due with no grace period. File online at https://filing.dos.ny.gov/ or by mail to the New York Department of State, Division of Corporations. The statement must include the address where the Secretary of State should mail service of process.


Filing Frequency and Deadline

New York does not require annual reports. Instead, N.Y. Ltd. Liab. Co. Law § 211 mandates a Biennial Statement every two years.

Your first Biennial Statement is due during the calendar month two years after your LLC was formed or received authority to do business. For example, if you filed Articles of Organization in March 2023, your first statement is due in March 2025. Subsequent filings are due every two years in that same calendar month.

There is no grace period. File on time to avoid past-due status.
