How do I get a certificate of good standing in Wyoming?
Wyoming does not issue certificates of good standing. Instead, verify your business's active status through the free online search at https://wyobiz.wyo.gov/Business/FilingSearch.aspx. For official documentation, contact the Wyoming Secretary of State at (307) 777-7311. Most lenders and institutions accept the online search results as proof of active status.
Verify Your Business Status Online
Search your business by name or file number at https://wyobiz.wyo.gov/Business/FilingSearch.aspx. The search confirms whether your LLC or corporation is current on filings and in good standing with the state. A business in good standing has filed all required annual reports and paid associated license taxes on time.
Maintain Good Standing
File your annual report on or before the first day of your anniversary month each year. Under Wyo. Stat. § 17-29-209, the filing fee is $60.00, or $0.0002 of Wyoming assets, whichever is greater. You have a 60-day grace period after the due date before facing administrative dissolution.
File online at https://wyobiz.wyo.gov/Business/Default.aspx. Your annual report must include your principal office address, capital, property, and assets located in Wyoming, certified under penalty of perjury by your treasurer or fiscal agent.
Request Official Documentation
While Wyoming doesn't issue formal certificates, contact the Secretary of State's office for a letter confirming your business status if needed for banking, lending, or other purposes. Call (307) 777-7311 or visit in person at Herschler Building East, Suite 101, 122 W 25th Street, Cheyenne, WY 82002-0020.
Reinstate a Dissolved Business
If your LLC was administratively dissolved for nonpayment, you can reinstate within two years by filing each delinquent annual report, paying each delinquent license tax, and submitting a $100 reinstatement fee.
