To register a foreign LLC in Florida, file the Application by Foreign Limited Liability Company for Authorization to Transact Business with the Florida Division of Corporations. The $125 registration fee applies. You must appoint a registered agent with a physical Florida address and submit a Certificate of Good Standing from your home state. What You Need to File
Submit the completed Application by Foreign Limited Liability Company for Authorization to Transact Business in Florida along with:
- Certificate of Good Standing from your LLC's home state (issued within 90 days)
- Registered agent information with written consent
- $125 filing fee (non-refundable)
Your registered agent must be either a Florida resident individual or a domestic/foreign entity authorized to do business in Florida (Fla. Stat. §§ 605.0113–605.0114). The agent's business address must match your registered office address—a physical street address is required. A member of your LLC may serve as registered agent.
Registered Agent Requirements
You cannot use the Florida Secretary of State as your registered agent. Your agent must maintain a physical business address in Florida that matches your registered office location. Submit written consent from your agent with your application.
If you later change agents, file a Statement of Change of Registered Agent/Registered Office and pay a $25 fee.
After Registration
File an annual report each year by May 1st with a $138.75 fee to maintain your authorization to transact business in Florida. If you cease operations in Florida, file a withdrawal application for $25 to formally terminate your registration.
