Register a Foreign LLC in Texas
File Form 304 (Application for Registration of a Foreign Limited Liability Company) with the Texas Secretary of State. Pay the $750 registration fee, appoint a registered agent with a Texas physical address, and submit a Certificate of Good Standing from your home state. File online at https://www.sos.state.tx.us/corp/sosda/index.shtml or mail to P.O. Box 13697, Austin, TX 78711-3697.
What You Need to File
Submit Form 304 along with a current Certificate of Good Standing from your LLC's state of formation. The certificate must be issued within 90 days of filing and confirm your LLC is in good standing. The $750 registration fee is non-refundable.
Registered Agent Requirements
You must appoint a registered agent under Tex. Bus. Org. Code § 5.201. Your agent must be either an individual Texas resident or a domestic or foreign entity authorized to conduct business in Texas. A member of your LLC may serve as registered agent. The agent's physical street address in Texas is required—P.O. Boxes do not satisfy this requirement. Obtain written consent from your agent before filing.

After Registration
Texas requires annual reports to maintain your registration. There is no annual report fee, but filing is mandatory. If you change your registered agent, file a Statement of Change of Registered Agent/Office and pay $15. To withdraw your registration, file a withdrawal application for $15.
