To reinstate a dissolved Wyoming LLC, file each delinquent annual report, pay each delinquent license tax, and submit a $100 reinstatement fee to the Wyoming Secretary of State. You must complete this process within two years after administrative dissolution occurs under Wyo. Stat. § 17-29-209. After the two-year window closes, reinstatement is no longer available.

Eligibility and Timeline

An LLC becomes administratively dissolved if the annual report and license tax remain unpaid 60 days after the due date (Wyo. Stat. § 17-29-210). The due date is the first day of your anniversary month. You have exactly two years from the dissolution date to reinstate. Once that deadline passes, you cannot restore the LLC and must form a new entity.

Required Filings and Fees

File all delinquent annual reports covering each missed year. Each report must include your LLC's capital, property, and assets located in Wyoming, principal office address, and certification under penalty of perjury by the treasurer or fiscal agent.

Pay the annual license tax for each delinquent year—$60 per year or $0.0002 of Wyoming assets, whichever is greater (Wyo. Stat. § 17-29-210).

Submit the $100 reinstatement fee.

All filings and payments must be submitted together. You cannot partially reinstate.

After Reinstatement
