How Long Does It Take to Form an LLC in Florida?

Processing times vary based on the Florida Division of Corporations' workload. Online filings through the SunBiz portal typically process faster than mail submissions. Florida does not publish specific timeframes. Contact the Division at (850) 245-6052 for current processing estimates.

Filing Method Affects Speed

Online filing is faster. Submit your Articles of Organization at https://dos.fl.gov/sunbiz/start-business/efile/fl-llc/ with a $125 filing fee. Online submissions receive priority processing compared to mail filings sent to P.O. Box 6327, Tallahassee, FL 32314.

Mail filing takes longer. Paper submissions by courier (2661 Executive Center Circle, Tallahassee, FL 32301) or standard mail experience delays due to handling and Division workload.

What to File

File your Articles of Organization under Fla. Stat. § 605.0201 with these required elements:

  • LLC name with an approved designator (LLC, L.L.C., or Limited Liability Company) per Fla. Stat. § 605.0112
  • Principal office street address
  • Registered agent name and Florida street address
  • Written acceptance from your registered agent
  • Mailing address (if different from principal office)

An authorized representative may sign and file; the signer need not be a member.

Before You File

Verify your LLC name is distinguishable using the free search tool at https://search.sunbiz.org/Inquiry/CorporationSearch/ByName. This prevents rejection delays.

Appoint a Florida-based registered agent and obtain their written acceptance before filing.

Effective Date Options

Under Fla. Stat. § 605.0213, you may choose your LLC's effective date, which may affect when formation is complete. Your LLC becomes legally effective on the date the Division approves your Articles of Organization unless you request a delayed effective date.

After Formation

Once approved, complete these steps:

  • Register a DBA if operating under a different name ($50 filing fee)
  • Obtain an EIN from the IRS
  • Apply for business licenses required by your industry or locality
  • Open a business bank account in your LLC's name
