How much does an LLC cost in Wyoming?
Wyoming charges a $100 filing fee to form an LLC by filing Articles of Organization under Wyo. Stat. § 17-29-203. After formation, you pay a $60 annual license tax due each year on or before your formation anniversary under Wyo. Stat. § 17-29-209. Wyoming has no state income tax, franchise tax, or gross receipts tax, making it one of the lowest-cost states for LLC operation.
Formation Costs
The initial filing fee is $100, payable when you submit your Articles of Organization. You can file online through WyoBiz for faster processing or submit paper filings, which take up to 15 business days. The fee is flat regardless of LLC size or structure.
Your Articles must include your LLC name, Wyoming registered office address, registered agent information, and principal office address (Wyo. Stat. § 17-29-205). You can serve as your own registered agent if you maintain a Wyoming address—no additional fee applies.
Annual Compliance Costs
After formation, you must file an Annual Report each year on or before the first day of your formation anniversary month. The license tax is $60 minimum, or 0.0002% of your Wyoming assets, whichever is greater (Wyo. Stat. § 17-29-210). For most small LLCs, this remains the flat $60 rate.
If you miss the deadline, you have a 60-day grace period before the state administratively dissolves your LLC. Reinstatement costs $100 plus all delinquent annual reports and taxes.
Tax Advantages
Wyoming imposes zero state income tax, zero franchise tax, and zero gross receipts tax. This eliminates three major business taxes that other states charge. Single-member LLCs default to disregarded entity status (Schedule C), while multi-member LLCs default to partnership taxation (Form 1065)—both report only federal taxes.
You must register for Wyoming's 4% sales tax if you sell taxable goods or services (combined local rates reach 4–8% depending on location). Federal self-employment tax still applies to LLC members.
Total First-Year Cost
Budget $160 minimum for your first year: $100 formation fee plus $60 annual license tax. Subsequent years cost $60 annually unless your Wyoming assets exceed $300,000, which triggers the asset-based calculation.
