Is Wyoming a Good State for an LLC?
Wyoming is an excellent choice for LLC formation due to its low $100 filing fee, permission for single-member LLCs, and fast online filing through WyoBiz. The state accepts foreign owners and allows you to choose your effective date. However, "good" depends on your specific needs—Wyoming works best if you want affordable formation, operational flexibility, and can maintain a Wyoming registered office address (Wyo. Stat. §§ 17-29-201, 17-29-203).
Why Wyoming Works
Low costs and speed. Wyoming's $100 filing fee is competitive nationally. Online filings through WyoBiz process faster than paper submissions (up to 15 business days). You can reserve a name for $60 for 120 days if you need planning time (Wyo. Stat. § 17-29-108).
Formation requires minimal paperwork: your LLC name with required designator (LLC, Limited Liability Company, LC, or similar), a Wyoming registered office address, a registered agent's name and written consent, your mailing address, principal office address, and an email for service notices (Wyo. Stat. § 17-29-205). One organizer can file—no minimum member requirement.
Flexibility for owners. Wyoming accepts foreign owners and allows single-member LLCs, making it accessible to individual entrepreneurs and international investors. You choose your effective date upon filing.
No annual reporting or franchise tax. Wyoming imposes no annual LLC report filing or state franchise tax, reducing ongoing compliance costs significantly.
Key Limitations
You need a Wyoming address. The Articles of Organization require a physical registered office street address in Wyoming (Wyo. Stat. § 17-29-203). You'll need a registered agent service if you lack local presence—an ongoing expense that offsets formation savings.
DBA filing is separate. Operating under a name different from your LLC name requires a $100 trade name registration with the Wyoming Secretary of State.
Foreign LLC registration required. If your business operates primarily in another state, you must register as a foreign LLC there and pay those fees. Wyoming's tax advantages don't apply if you're taxed as a corporation or partnership elsewhere.
