What are the registered agent rules in Florida?
Under Fla. Stat. §§ 605.0113-605.0114, Florida requires every LLC and corporation to maintain a registered agent with a physical street address in Florida. The agent must be either a Florida resident individual or a domestic/foreign entity authorized to do business in Florida. The registered office address must match the agent's business address exactly. The agent must consent to serve, and you must file a Statement of Change of Registered Agent/Registered Office with a $25 filing fee if you change agents.
Who Can Serve as Your Registered Agent
Your registered agent must meet one of these criteria under Fla. Stat. § 605.0113:
- Individual: A Florida resident with a physical business address in the state
- Entity: A domestic or foreign corporation, LLC, partnership, or other business entity authorized to transact business in Florida
- LLC Member: Yes—an LLC member can serve as registered agent if they meet residency or authorization requirements
The agent's registered office address must be a physical street address (not a P.O. Box) and must match the agent's business address exactly. The Secretary of State cannot serve as your registered agent.
Address Requirements
Florida law requires a physical street address for your registered office. P.O. boxes are not acceptable under Fla. Stat. § 605.0113. This address becomes public record and appears on all official filings with the Florida Division of Corporations.
Changing Your Registered Agent
To change your registered agent in Florida:
- Obtain written consent from the new agent
