Wyoming Registered Agent Rules

Q: What are the registered agent rules in Wyoming?

Wyoming requires every business entity to appoint a registered agent with a physical Wyoming office address. The agent must be either a Wyoming resident individual or a domestic/foreign business entity authorized to do business in Wyoming. Consent is required before appointment. You can change your agent for $5.00 using the "Appointment of New Registered Agent and Office" form filed with the Wyoming Secretary of State (Wyo. Stat. §§ 17-28-101 to 17-28-111).


Who Can Serve as Registered Agent

Under Wyo. Stat. § 17-28-101, your registered agent must be:

  • A Wyoming resident individual, or
  • A domestic or foreign business entity authorized to transact business in Wyoming

Members of your LLC or other business owners can serve as registered agents for their own entity. The Secretary of State cannot serve as your registered agent.

Physical Address Requirement

Your registered agent must maintain a physical street address in Wyoming—not a P.O. box or virtual address. This address is where legal documents, lawsuits, and official notices will be delivered. Ensure your agent maintains continuous access to this location.

Appointment Process

Consent is required before naming anyone as your registered agent. File the "Appointment of New Registered Agent and Office" form with the Wyoming Secretary of State to establish or change your agent.

Changing Your Registered Agent

If your agent moves out of state, becomes unavailable, or you need to replace them, file a new "Appointment of New Registered Agent and Office" form with the $5.00 fee. The new agent must provide written consent before filing.

Your appointment remains in effect until you file a change. Failure to maintain a valid registered agent can result in default judgments and missed legal notices.
