What Happens If My LLC Is Dissolved by Wyoming?
Wyoming administratively dissolves your LLC if you fail to file your annual report and pay the license tax within 60 days after the due date (Wyo. Stat. § 17-29-209). Automatic Dissolution Process
The Wyoming Secretary of State dissolves your LLC automatically—no court action required. Once dissolved, your LLC ceases to exist as a legal entity. You cannot enter contracts, sue, or defend lawsuits in the LLC's name. Your personal liability protection disappears, exposing members to creditor claims.
Consequences of Dissolution
Your business name becomes available for others to register. Existing debts and obligations remain your personal responsibility. Creditors may pursue individual members directly. Operating a dissolved LLC without reinstatement exposes you to additional penalties and legal liability.
Reinstatement Within Two Years
You can restore your LLC's status within two years of dissolution (Wyo. Stat. § 17-29-210). Required steps:
