Texas LLC Annual Fee | Requirements & Costs
Description: Texas LLCs have no annual fee, but must file a free Public Information Report by May 15 yearly with the Comptroller. LLCs may owe franchise tax based on revenue.
What is the annual fee for an LLC in Texas?
Texas does not charge an annual LLC fee. Instead, LLCs must file a free Public Information Report (PIR) with the Texas Comptroller by May 15 each year. While the report itself costs nothing, failure to file triggers a $50 penalty and potential loss of your right to do business. Texas also imposes a franchise tax on most LLCs, due the same day, based on your revenue threshold under Tex. Tax Code § 171.001.
Annual Reporting Requirement (No Fee)
Your LLC must file a PIR annually with the Texas Comptroller of Public Accounts—not the Secretary of State. The filing is free and due by May 15 each year, starting the year after formation.
The PIR requires:
- Principal office and place of business addresses
- Names and addresses of all members and managers
- Your SOS file number
- Registered agent information
File online at the Comptroller's website. Missing the deadline costs $50 per late report. Payments over 30 days late incur an additional 10% penalty plus interest. Repeated non-compliance results in forfeiture of your right to transact business and potential involuntary dissolution by the Secretary of State.
Franchise Tax Obligation
Texas imposes a franchise tax on LLCs under Tex. Tax Code § 171.001, also due May 15. However, no franchise tax is due if your annualized revenue does not exceed $2,650,000 (2026 threshold).
If you exceed the threshold, the standard rate is 0.75% of taxable margin. Retail and wholesale businesses pay 0.375%. Texas has no state income tax, so this franchise tax is your primary state business tax obligation.
Reinstatement After Non-Compliance
If your LLC fails to file and loses good standing, reinstatement costs $75 plus any delinquent franchise taxes, penalties, and interest. You must obtain a tax clearance from the Comptroller before the Secretary of State will reinstate your entity.
Bottom Line
Texas charges no annual LLC fee. Your only mandatory obligation is filing a free Public Information Report by May 15 each year. Budget separately for potential franchise tax liability if your revenue exceeds the threshold. File on time to avoid penalties and maintain good standing.
