Wyoming LLC BOI Reporting Requirements

What is the BOI reporting requirement for LLCs in Wyoming?

Wyoming does not impose a separate Beneficial Ownership Information (BOI) reporting requirement for LLCs under state law. Wyoming LLCs must comply with the state's annual report requirement under Wyo. Stat. §§ 17-29-209 and 17-29-210. However, if your LLC qualifies as a "reporting company" under the federal Corporate Transparency Act (31 U.S.C. § 5336), you must file BOI with FinCEN, the federal Financial Crimes Enforcement Network—this is a federal obligation, not a Wyoming state requirement.

Wyoming Annual Report Requirement

Wyoming LLCs must file an Annual Report with the Wyoming Secretary of State on or before the first day of the anniversary month of formation or qualification (Wyo. Stat. § 17-29-209).

Filing Details:

  • Fee: $60.00 (or $0.0002 of Wyoming assets, whichever is greater)
  • Online Filing: https://wyobiz.wyo.gov/Business/Default.aspx
  • Required Information: Capital, property, and assets located in Wyoming; principal office address; certification under penalty of perjury by the treasurer or fiscal agent

Penalties for Non-Compliance:

If the annual report and license tax remain unpaid 60 days after the due date, the LLC is subject to administrative dissolution under Wyo. Stat. § 17-29-210. No separate late fee is imposed, but dissolution is automatic. Reinstatement requires filing all delinquent annual reports, paying all delinquent license taxes, and submitting a $100 reinstatement fee within two years of dissolution.

Federal BOI Reporting vs. Wyoming Annual Reports

Wyoming's annual report and federal BOI reporting are separate obligations:

  • Wyoming Annual Report: Filed with the Wyoming Secretary of State; covers Wyoming assets and business information; required annually
  • Federal BOI Report: Filed with FinCEN; covers beneficial ownership information; required if the LLC qualifies as a reporting company under the CTA

Most LLCs are subject to federal BOI reporting. File through FinCEN's secure portal at boi.gov. Federal deadlines and penalties apply independently of Wyoming state requirements.
