What is the LLC Filing Deadline in Florida?
Florida LLCs must file an Annual Report between January 1 and May 1 each year. The first report is due between January 1 and May 1 of the year following formation. The filing fee is $138.75. Annual Report Requirements
Your Annual Report must include:
- Principal office address and mailing address
- Date of organization
- Federal Employer Identification Number (if assigned)
- Name, title, and address of at least one member, manager, or authorized representative
Reports must be filed by 5:00 p.m. Eastern Time on May 1 each year under Fla. Stat. § 605.0102.
Late Filing Penalties
$400 Late Fee: If your report remains unfiled after May 1, the Division assesses a $400 late penalty automatically.
Administrative Dissolution: If the report is still unfiled at 5:00 p.m. Eastern Time on the third Friday in September, your LLC is automatically dissolved on the fourth Friday in September under Fla. Stat. § 605.0150. Administrative dissolution removes your LLC's legal status and authority to conduct business.
Reinstatement After Dissolution
If your LLC is administratively dissolved, you must file a reinstatement application with the current Annual Report and pay all delinquent fees, the $400 penalty, and a $100 reinstatement fee. This restores your LLC's legal standing.
