What is the Minimum Number of Members for an LLC in Florida?

Florida requires only one member to form and operate an LLC. Under Fla. Stat. § 605.0201, a single person or entity can establish and maintain an LLC with full liability protection. You do not need multiple owners to benefit from limited liability status.

Single-Member LLC Advantages

A single-member LLC in Florida offers the same liability protection as multi-member structures. Your personal assets remain separate from business debts and obligations. You retain complete management authority unless your operating agreement specifies otherwise. This structure is ideal for solo entrepreneurs seeking liability protection without the complexity of multi-member management.

Formation Requirements

File Articles of Organization with the Florida Division of Corporations. The filing fee is $125.00 regardless of membership structure. Your articles must include:

  • LLC name with an approved designator (LLC, L.L.C., or Limited Liability Company)
  • Principal office street address
  • Registered agent name and Florida street address
  • Written acceptance from the registered agent

An authorized representative may sign and file the articles—the signer does not need to be a member (Fla. Stat. § 605.0213).

Filing Your Articles

File online at https://dos.fl.gov/sunbiz/start-business/efile/fl-llc/ for faster processing, or mail to P.O. Box 6327, Tallahassee, FL 32314. Before filing, verify your LLC name is distinguishable in state records using https://search.sunbiz.org/Inquiry/CorporationSearch/ByName.

You may select an effective date for your LLC formation. Processing times vary by Division workload.

Additional Steps

Obtain an EIN from the IRS if you plan to hire employees or open a business bank account. If you operate under a name different from your LLC name, file a fictitious name registration (DBA) for $50.00 with the Division of Corporations.
